Terms of Service Agreement

Maintenance & Support

Following project completion, Dr. Barbara Swinney ("Client") may avail maintenance and support on an hourly basis or via a monthly flat rate retainer. The standard hourly rate is $150. Alternatively, a flat rate will be established prior to project initiation.

Beta Testing & Modifications

Post-completion testing and any requisite modifications will be addressed under a new agreement and are not covered within initial project costs. Additional functionalities beyond the agreed scope will incur extra charges based on hours or fixed feature rates.

Ownership Transfer

Full ownership and corresponding login details for the project will be transferred to the Client upon receipt of complete payment.

Authorization

The Client engages Dr. Barbara Swinney for web development and management services. The Client authorizes Dr. Swinney to access necessary digital and marketing materials for the contracted project.

Client-Induced Delays

Dr. Swinney is not liable for delays caused by Client actions. Changes to project scope or additional requirements may necessitate budget revisions. The Client may request unlimited changes during proofing; however, requests exceeding the original terms may attract additional fees.

Development Payment Terms

Development commences upon receipt of the initial full payment.

The Client is to pay a 50% deposit to initiate development, with the balance due upon 80% project completion. Credit card payments attract a 3% processing fee.

Payment and Cancellations

Deposits and setup fees are non-refundable once work begins. Custom technical work is also non-refundable due to the hourly nature of development labor. Cancellation requests require a 30-day written notice, including reasons. Refund processing may take up to two weeks and may be influenced by payment methods and non-business days.

Intellectual Property Rights

Upon full payment, the Client assumes ownership of all intellectual property produced. The Client holds exclusive rights to the intellectual property and any derived sales. All Client-provided information is deemed confidential and will not be disclosed externally. This includes project specifications, ideas, data, systems, and all related intellectual property.

Agreement Confirmation

Payment by the Client constitutes a signature and acceptance of these terms.
